General Terms of Use
Our rules concerning access to and use of the Vendcite website, app, and related products.
These Terms of Use (“Terms of Use”) are an agreement between you and Vendcite. They govern your use of and access to vendcite.com and all affiliated websites, mobile applications, and products and services we provide (collectively, the “Services”). By using our website or Services, you agree to these Terms of Use.
Our Privacy Policy, Acceptable Use Policy, and Merchant Terms of Use (where applicable) are incorporated by reference. Please read those documents to understand how they apply to your use of the Services.
In these Terms, “you” and “your” mean the person or business using or accessing the Services. “We,” “us,” and “our” mean Vendcite and its successors, assignees, and affiliates where applicable.

1.1 Vendcite provides technology infrastructure that helps businesses sell online and offline, track transactions, and engage with customers across Africa and beyond.
1.2 Vendcite offers a commerce platform that helps merchants unify their selling activities. The platform includes tools to build and customize online stores, sell across web, mobile, social channels, marketplaces, and in person, and manage products, inventory, payments, fulfillment, shipping, operations, marketing, and customer relationships. New features added to the Services are also subject to these Terms. You can review the current version on our website at any time.
2. Relationship
2.1 We provide the website and Services as an independent service provider. We do not control, and are not responsible for, the genuineness, legality, or quality of products or services paid for through the platform. We do not guarantee any user's identity and cannot ensure that a buyer or seller will complete a transaction.
2.2 These Terms of Use are an agreement between you and Vendcite. They describe certain risks associated with using our Services. By using the website or any Service, you agree to be bound by them.
3. Privacy Policy
Vendcite is committed to handling personal information responsibly. Please read our Privacy Policy to understand how we collect, use, and protect your information.
4. Copyright
Content published on the website—including digital downloads, images, text, graphics, and logos—is the property of Vendcite unless otherwise stated. The compilation of content on the website is the exclusive property of Vendcite.

WE ARE NOT LIABLE TO YOU FOR THE CONTENTS OF, USE OF, OR CONNECTION WITH THE WEBSITE OR SERVICES.
9.2 Vendcite does not warrant that the quality of products, services, information, or other materials obtained through the Services will meet your expectations, or that errors will be corrected.
10. Limitation of Liability
10.1 While we strive to keep website materials accurate, we disclaim any warranty or representation about their accuracy, completeness, or fitness for a particular purpose. By using the website or Services, you assume full responsibility for your use of materials and information, and you understand that Vendcite and its suppliers, employees, managers, and directors are not responsible for claims, losses, damages, costs, or expenses resulting from such use.
10.2 We recommend installing appropriate protections against viruses and malware before downloading information from the website or Services. Vendcite accepts no liability for malware contracted through the website, Services, or linked sites.
10.3 NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LEGALLY LIMITED OR EXCLUDED. SUBJECT TO THAT, VENDCITE SHALL NOT BE LIABLE FOR LOSS OF PROFITS, REVENUE, ANTICIPATED SAVINGS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, SERVICE INTERRUPTIONS, THIRD-PARTY CLAIMS, OR INDIRECT OR CONSEQUENTIAL LOSSES ARISING UNDER THESE TERMS. IN NO EVENT SHALL VENDCITE'S CUMULATIVE LIABILITY EXCEED THE FEES YOU PAID FOR THE RELEVANT SERVICE, OR TEN THOUSAND NAIRA (NGN 10,000) IF NO PAYMENT WAS MADE.
11. Exclusions
Some jurisdictions do not allow certain warranty exclusions or liability limitations. Where applicable law requires, Vendcite's liability and warranty disclaimers are limited to the minimum permitted by law.
12. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Vendcite, its affiliates, licensors, service providers, and their officers, directors, employees, contractors, agents, suppliers, successors, and assigns from claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from your acts, omissions, negligence, wrongdoing, or breach of these Terms.
13. Termination
13.1 We may terminate or suspend access to any or all parts of our Services immediately, without prior notice and without liability, including for breach of these Terms.
13.2 We may change, suspend, or discontinue any Service at any time. We are not liable for effects such changes may have on you, including your income or ability to generate revenue through the Services.
13.3 Provisions that by their nature should survive termination—including ownership, disclaimers, indemnity, and limitations of liability—will survive.
14. Links to Other Websites
Our Services may contain links to third-party websites or services not owned or controlled by Vendcite. We are not responsible for their content, privacy policies, or practices. Vendcite is not liable for damage or loss arising from your use of or reliance on third-party content, goods, or services.
15. Our Role
15.1 You acknowledge that we do not verify the identity, creditworthiness, or bona fides of all users; we are not a party to contracts for sale or purchase of products; we are not involved in transactions between buyers and sellers; and we are not an agent for any buyer or seller. We are not responsible for enforcement of contractual obligations between buyers and sellers and have no obligation to mediate disputes between them.
15.2 We do not warrant the completeness, accuracy, or currency of information on the website or Services, uninterrupted operation of the website, or continued availability of any product or service.
15.3 We may discontinue or alter any Service or stop publishing the website at any time without notice. We do not guarantee commercial results from use of the website or Services. To the maximum extent permitted by law, we exclude representations and warranties relating to these Terms and our website and Services.
16. Updates, Modifications and Amendments
We may modify or replace these Terms of Use at any time. Continued use of the Services means you are expected to review these Terms regularly and stay informed of changes.
17. Applicable Law
These Terms of Use are governed by the laws in force in Lagos State, Federal Republic of Nigeria, unless otherwise required by applicable law.
18. Legal Disputes
18.1 Parties will attempt in good faith to settle disputes through mutual agreement or negotiation within two months of the dispute arising, after which either party may refer the matter to a court of competent jurisdiction.
18.2 The parties submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
19. Severability
Each provision of these Terms is distinct and severable. If any provision is unlawful or unenforceable, the remaining provisions continue in effect. Unenforceable parts may be severed where possible.
20. Entire Agreement
20.1 These Terms, together with documents incorporated by reference, constitute the entire agreement between Vendcite and you and supersede prior arrangements relating to the subject matter, to the fullest extent permitted by law.
20.2 The incorporated documents should be read together. If there is a conflict, the Merchant Terms of Use prevail for merchant relationships, the Privacy Policy prevails on data privacy, and otherwise the following order applies where needed to resolve conflict: (a) General Terms of Use, (b) Acceptable Use Policy, (c) Merchant Terms of Use, (d) Privacy Policy, and (e) other applicable documents.
21. Miscellaneous
Electronic communications from us satisfy any legal requirement that communications be in writing. You may not assign or subcontract your rights or obligations under these Terms without our consent. We may transfer, assign, or subcontract our rights or obligations.
